Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by Nepal Trade Solutions Pvt Ltd ("NTS", "we", "us", or "our"). By requesting a quote, booking a service, or using our website, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree with any part of these Terms, you should not use our services.

2. Services

NTS provides the following services to international buyers importing goods from Nepal:

• Pre-Shipment Inspection (PSI): Final quality inspection of finished goods before shipment.
• Mid-Production Inspection (MPI): In-process quality inspection during manufacturing.
• Factory & Supplier Audit: Comprehensive assessment of supplier capability and compliance.
• Supplier Sourcing: Identification, qualification, and introduction to Nepal-based manufacturers.
• Trade Advisory: Guidance on documentation, customs, logistics, and compliance for Nepal imports.
• Product Sourcing: Procurement and supply of Nepal-made products.

3. Service Booking and Confirmation

Services are booked via our website contact form, email, or WhatsApp. A booking is confirmed when we issue a service confirmation or invoice. We reserve the right to decline any service request at our discretion.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information about your order, product specifications, and supplier details.
• Ensure that the factory or supplier is informed of and agrees to the scheduled inspection or audit visit.
• Provide timely access to the factory premises and production samples for inspection.
• Communicate any changes to order specifications or scheduling requirements with reasonable notice.

5. Pricing and Payment

Service fees are quoted per inspection, audit, or sourcing engagement as specified in our pricing page or service quote. Payment terms are as follows:

• Payment is due before the service date unless a retainer or credit arrangement has been established.
• We accept payment by bank transfer (USD, EUR, GBP) and Wise.
• All fees are exclusive of applicable taxes unless stated otherwise.
• Travel within Kathmandu Valley is included at no extra cost. For factories outside the valley, a flat USD 200 surcharge covers round-trip transportation and one night's accommodation for the inspector.

6. Cancellation and Rescheduling

• Cancellations made with at least 48 hours' notice will be rescheduled at no charge or refunded in full.
• Cancellations made with less than 24 hours' notice may incur a cancellation fee of up to 50% of the service fee.
• If the factory is not ready on the scheduled visit date and we are not informed with minimum 24 hours' notice, a cancellation fee applies.
• We will always try to reschedule at no charge when given adequate notice.

7. Inspection Reports and Results

• Inspection reports are delivered within 24 hours of the factory visit (standard service).
• Audit reports are delivered within 48 hours of the audit.
• Reports include a Pass / Fail / Conditional result with detailed findings and photo documentation.
• Our inspections follow ANSI/ASQ Z1.4 AQL standards unless otherwise agreed.
• Reports are provided for informational and decision-support purposes. Final acceptance of goods remains the buyer's responsibility.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NTS's total liability arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. NTS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, or loss of goods.

Our services are designed to reduce risk and provide independent quality assessment, but we cannot guarantee that all defects will be identified. Inspection is conducted on a sampling basis following AQL standards, and some defects may remain undetected.

9. Intellectual Property

All reports, documents, methodologies, and materials provided by NTS are our intellectual property. You may use them for your internal business purposes but may not reproduce, distribute, or share them with third parties without our written consent.

10. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to deliver our services or as required by law. We expect the same level of confidentiality from our clients regarding our methodologies, pricing, and business practices.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be submitted to mediation in Kathmandu, Nepal.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
